By accessing our website at darkbluesoftware.com or using any of our products (including CHATIFIX, 1to999 eCommerce, POSStar, and Doctors Chamber), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use our services.

2. Description of Services

Dark Blue Software Limited provides software development services and software-as-a-service (SaaS) products designed for business use. Our services include but are not limited to custom software development, web application development, mobile app development, AI solutions, cloud services, and IT consulting.

3. User Accounts

When you create an account with any of our products, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Service Usage

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use our services in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the integrity or performance of our services
• Use our services to transmit malicious code, spam, or harmful content
• Reverse engineer, decompile, or disassemble any part of our software
• Reproduce, duplicate, or resell any part of our services without permission

5. Intellectual Property

All content, features, and functionality of our website and products — including but not limited to text, graphics, logos, icons, images, audio clips, software, and compilation — are the exclusive property of Dark Blue Software Limited and are protected by copyright, trademark, and other intellectual property laws.

You may not use, reproduce, modify, or distribute any of our intellectual property without our prior written consent. Custom software developed for clients is subject to the terms specified in individual project agreements.

6. Payment Terms

For paid services and subscriptions, payment terms are as specified in your service agreement or subscription plan. All fees are non-refundable unless otherwise stated. We reserve the right to modify pricing with reasonable notice to existing customers.

7. Data and Content

You retain ownership of any data or content you submit through our services. By using our services, you grant us a limited license to use, store, and process your data solely for the purpose of providing and improving our services, as described in our Privacy Policy.

8. Service Availability

We strive to maintain high availability of our services but do not guarantee uninterrupted access. We may temporarily suspend services for maintenance, updates, or security reasons. We will provide reasonable notice of planned downtime when possible.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Dark Blue Software Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of our services.

Our total liability for any claims arising from or related to our services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless Dark Blue Software Limited, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from your use of our services or violation of these Terms.

11. Termination

We may terminate or suspend your access to our services at any time, with or without cause, and with or without notice. Upon termination, your right to use our services will cease immediately. Provisions of these Terms that by their nature should survive termination shall continue to apply.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Bangladesh, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes by posting the updated Terms on our website and updating the "Last Updated" date. Continued use of our services after changes constitutes acceptance of the modified Terms.
